Entrepreneurial Registry

Under the law “on entrepreneurs” registration of a legal entity is mandatory in Georgia. It is performed by the National Agency of Public Registry and contains both state and tax registration. According to the latest amendments in corresponding law registration of legal entities was simplified, almost every barrier was removed and the principle of “one window” was established. The requirement of minimal Founding capital does not exist anymore; also an enterprise’s stamp mandatory owing is abolished that made possible to register company just in few hours.

For registration of Enterprise interested person must present only an application and charter (if requested) with signs of all partners. An application should include:

  • Firm name (firm);
  • Organizational and legal form;
  • Location (legal address);
  • First name, surname, date and place of birth, occupation and place of residence of each founding partner and if the founder is a legal entity – the firm name and registration records thereof (legal address, registration date and number, organizational-legal form, and the information on the representative).
  • The rule of making decision by chief organ of enterprise, if limited liability company – information about the shares of partners;
  • Information about limitations that exists for representative while representing an enterprise.
  • In case of limited partnership – notification which partner is limited and which is not.

For the registration of an enterprise besides the application, charter and other documents, must be also presented document in which will be indicated the name of a person, called procurist, who has right to manage or represent an enterprise (his/her first name, surname, address and phone number). If an enterprise has two or more person authorized to represent it, then the document must indicate whether they are representing an enterprise together or separately. Document is signed by the person authorized to appoint procurist. This signature must be notarized unless it is made in the registry organ. For registration procurist also must be presented an example of his/her signature that also should be notarized unless it is made in the registry organ.

Fees for registration of enterprises are follows:

  • In one working day – 100 GEL;
  • In the day of applying – 200 GEL;

An enterprise can be refused to register if:

  • The registry documents does not fully satisfies the requirements of law;
  • Mendacious, unidentified or unconsummated information are presented;
  • Service fee is not paid;
